Terms of Service

Welcome to PineLogix ("we," "our," or "us"). By accessing our website (pinelogix.in) or engaging our services, you ("Client," "User," or "you") agree to be bound by the following Terms of Service ("Terms"). Please read them carefully before proceeding with any project engagement.

1. Scope of Services

PineLogix is a premium digital agency specializing in:

  • Custom Web & Full-Stack Application Development
  • Mobile Application Development (iOS & Android)
  • UI/UX Strategy & Design
  • Cloud Architecture & DevOps Operations
  • Artificial Intelligence (AI) & Machine Learning (ML) Integrations

Specific project scopes, deliverables, timelines, and technical requirements will be outlined in a separate written agreement, Statement of Work (SOW), or proposal.

2. Client Responsibilities

To ensure timely delivery, the Client agrees to provide necessary access, materials, brand assets, and feedback promptly. Delays in providing required materials or approvals may result in corresponding extensions to project timelines. The Client guarantees they have the legal right to use all assets provided to PineLogix for the project.

3. Payment Terms

Payment schedules are defined in the project SOW. Typically, this involves an upfront deposit prior to commencement, with subsequent milestone payments. Invoices are due upon receipt unless otherwise stated. PineLogix reserves the right to suspend services or withhold final deliverables (including source code and server access) until all outstanding balances are paid in full.

4. Intellectual Property Rights

Pre-existing IP: PineLogix retains all rights to any pre-existing code, libraries, and frameworks used during development. We grant the Client a non-exclusive, perpetual license to use these pre-existing materials strictly as integrated into the final deliverable.

Custom Deliverables: Upon receipt of full and final payment, intellectual property rights for the custom design, front-end code, and project-specific backend logic are transferred to the Client. PineLogix reserves the right to display the final product in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) specifies otherwise.

5. Warranties & Disclaimers

PineLogix delivers services "as-is" and "as available." While we adhere to industry best practices, we do not warrant that software will be entirely error-free or immune to unauthorized access. Following the deployment of the final project and any agreed-upon warranty period, PineLogix is not liable for issues arising from third-party API changes, server host failures, or unauthorized client modifications.

6. Third-Party Services & AI Integrations

Our applications frequently rely on third-party infrastructure (e.g., Vercel, MongoDB, Stripe, OpenAI, Google Gemini). PineLogix is not responsible for downtimes, data breaches, or policy changes initiated by these third-party providers. When integrating AI LLMs, the Client understands that AI outputs can be unpredictable, and PineLogix is not liable for AI-generated hallucinations or inaccuracies.

7. Limitation of Liability

In no event shall PineLogix, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use or inability to use our deliverables. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by the Client for the specific project in question.

8. Termination

Either party may terminate a project with written notice if the other party breaches a material term and fails to cure it within 14 days. Upon termination, the Client shall pay for all work completed up to the date of termination. Deposits are generally non-refundable.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
